1. Acceptance of the Terms

1. These Terms of Use (“Terms”) form a binding legal contract between MieWord (“Administrator”, “we”, “us”, “our”) and you (“you”, “User”).

2. These Terms govern your access and use of MieWord classified ads website, mobile app, social media integrations, APIs, services, and any content or data provided through them (collectively, the “Platform” or “Service”).

3. By using the Platform, you agree to these Terms. If you do not agree, or are not allowed to be bound by them, do not use the Platform.

4. These Terms incorporate by reference our Privacy Policy, Payment Policy, Community Guidelines, and any other policies posted on the Platform. You must review them as part of your agreement.

5. We may update these Terms at any time for any reason. We may or may not notify you. Continued use of the Platform means you accept updated Terms.

2. Important Disclaimers

1. “As Is” Services
   The Platform and all provided services, features, functions, and content are provided solely on an “AS IS”, “AS AVAILABLE” basis, with all faults. We disclaim all express or implied warranties, including warranties of merchantability, fitness for purpose, reliability, performance, or accuracy.

2. No Control Over Listings
   We exercise no control over the quality, legality, authenticity, or accuracy of goods or services advertised by users. We do not verify listings.

3. No Guarantees of Transactions
   We do not guarantee that sellers will deliver, or that buyers will pay. We have no control over whether a transaction is completed.

4. User Responsibility & Safety
   You are encouraged to inspect goods in person before paying. Always meet in safe, public places during daylight. You alone are responsible for verifying sellers, buyers, goods, or services.

5. No Liability for Third-Party or Social Media Content
   The Platform may link to or integrate with social media (e.g. Facebook, Instagram, YouTube, Twitter) or Third‑Party Ads (e.g. from banks, commerce sites). We do not endorse or assume responsibility for such content or how third parties use your data.

6. Interactions with Other Users
   Any interactions you have with other users—including agreements, disputes, or damages—are between you and those users. We assume no liability or obligation to participate in disputes.

3. Account Registration and Security

1. Account Creation
   You may register an account (“Account”) as an individual or an authorized representative of a business in order to use certain Platform features.

2. One Free Account
   Generally, each person/device may register only one free Account. Paid services may allow multiple Accounts.

3. Account Credentials
   You are responsible for protecting your login information. Any activity performed via your Account—whether or not done by you—is your responsibility.

4. Age Requirement
   You must be 18 or older. Minors may only use the Platform under supervision of a parent or guardian who has agreed to these Terms on their behalf.

5. Suspension or Termination
   We reserve the right to suspend, restrict, or terminate your Account at our discretion, with or without notice, for reasons including:

   • Violation of these Terms;

   • Suspicious or fraudulent activity;

   • Duplicate or unauthorized use of multiple Accounts;

   • Any activity that jeopardizes the Platform’s integrity or safety.

6. Reporting Unauthorized Activity
   You must report any unauthorized use of your Account immediately. We will not be liable for losses if you fail to notify us promptly.

4. Description of Services

1. The Platform is an online classified ads service that allows users to:

   • Create and publish advertisements (“Listings” or “Announcements”).

   • Browse and search Listings posted by other users.

   • Contact other users via phone, messaging, or social media links provided in Listings.

2. We are not the importer, distributor, or seller of any items listed on the Platform, nor a provider of any services listed. We do not market items on behalf of users.

3. All transaction contracts (sale, service provision, hiring, rentals, etc.) are made directly between users. We are not a party to these contracts.

4. You are solely responsible for collecting and remitting any applicable taxes arising from sales on the Platform.

5. Removal of Listings
   We may remove or block access to Listings without notice at our sole discretion if we:
   a. Receive a binding legal or governmental order;
   b. Receive a valid intellectual property infringement complaint;
   c. Are reasonably informed that content violates these Terms, applicable laws, or harms other users;
   d. Detect suspected fraudulent or malicious Listings.

6. Changes to the Platform
   We may modify, suspend, or discontinue any Platform features (free or paid) at any time. You acknowledge we are not liable for any loss, delay, removal of content, or changes in access resulting from such actions.

7. User Content
   “User Content” refers to all text, photos, videos, links, and messages you submit. You retain ownership of your User Content, but the Platform does not verify it. We make no representations about its reliability, accuracy, or legality.

8. Third-Party Links & Ads
   The Platform may display third‑party advertisements or links to third‑party websites. We do not endorse, monitor, or guarantee these third parties. If you leave our Platform, that third party’s terms govern you.

5. Posting Listings

1. Accuracy and Clarity
   You must provide complete, truthful, and accurate details about each item or service you list. This includes a clearly stated price, description, and contact information.

2. Price Integrity
   The listed price must be precise. If the price may change due to special conditions (e.g. exchange rates, shipping, discounts), state this clearly.

3. Contact Accessibility
   The phone number or messaging channel you provide must be functional. You should respond promptly to inquiries. Persistent unresponsiveness may lead to removal of your Listing.

4. Ownership and Rights
   You must own the item or have legal authorization to sell it. If you post about a service, you must be properly licensed to offer it, if required by law.

5. Legal and Policy Compliance
   You must comply with all applicable laws. Do not post Listings that:

   • Offer illegal goods or services;

   • Promote adult, offensive, hateful, or harassing content;

   • Sell counterfeit or infringing goods;

   • Include misleading statements or scams;

   • Contain personal data of others without consent.

6. Social Media Embeds
   If you embed social media content (e.g. YouTube videos, Instagram posts, Facebook content), you agree to the terms of those platforms (e.g. YouTube Terms of Service, Meta Terms of Service).

6. Fees, Billing, and Paid Services

1. The Platform is primarily free to use. We may offer paid services like:

   • Featured or promoted Listings;

   • Bulk listing packages (especially for business users);

   • Extended duration or priority display.

2. Fee details, packages, and payment methods are clearly shown on the Platform. We may change fees or payment options at any time.

3. Paid services are non‑refundable unless required by law. You agree to our Billing Policy for detailed rules.

4. Using paid services may allow you to register multiple Accounts, subject to terms in our Billing Policy.

7. User Representations and Warranties

By using the Platform, you represent and warrant:

1. That you have legal capacity to accept and comply with these Terms.

2. That all information you provide is accurate, up-to-date, and not misleading.

3. That you are 18 or older, or supervised by a guardian who agreed to these Terms.

4. That your login credentials are secure, and you will notify us immediately of any compromise.

5. That you will abide by all applicable laws, regulations, industry standards, and Platform policies.

6. That you will not post any disallowed or illegal content, mislead users, scam, spam, or interfere with Platform operations.

7. That you will not use bots, scripts, or automated tools to scrape data or post content without authorization.

8. That you will respect other users’ privacy and not collect personal data without consent.

9. That you have ownership or license rights for everything you list.

10. That you will not claim ownership of content posted by others, or reuse it without permission.

8. Indemnity

You agree to indemnify, defend, and hold harmless the Administrator, its affiliates, officers, directors, employees, agents, and service providers from any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising out of:

• Your use of the Platform;

• Your User Content or any listing you publish;

• Violation of these Terms or applicable law;

• Any transaction or interaction you undertake through the Platform.

We reserve the right, at our expense, to assume exclusive defense of any matter subject to indemnity. You agree to cooperate in that defense.

9. Limitation of Liability

1. We, and our affiliates, shall not be liable for any:

   • Indirect, incidental, consequential, special, punitive, or exemplary damages;

   • Lost profits, data loss, or damage to your device;

   • Loss arising from your use or inability to use the Platform or any third-party services.

2. Our maximum liability to you is limited to the lesser of:

   • Fees you have paid to us in the 6 months prior to the claim; or

   • NGN 30,000 or its equivalent.

3. Some jurisdictions may not allow certain exclusions or limitations of liability, so parts may not apply in your country.

10. Intellectual Property Rights

1. Your Content
   You retain all ownership rights to your User Content. However, by posting, you grant us a non-exclusive, worldwide, royalty-free, transferable, sub-licensable, perpetual, and irrevocable license to use, copy, modify, publish, display, translate, distribute, and create derivative works from your content in connection with the Platform and our marketing and promotions.

2. Platform Content
   All other content on the Platform—such as logo, design, software, text, graphics—is owned or licensed by us and protected by copyright, trademark, and other intellectual property laws. You may not use, copy or distribute Platform content without our express written consent.

3. Infringement Claims
   If you believe your copyright or intellectual property rights are infringed by content on the Platform, send us a written notice including:

   • Your contact information;

   • Description of the material and location (URL);

   • Statement of good faith belief that use is unauthorized;

   • A declaration that the complaint is accurate under penalty of perjury;

   • Your signature or electronic equivalent;

11. Social Media & Integration Terms

1. The Platform may allow you to log in, post, share, or embed content via social media platforms such as Facebook, Instagram, Twitter, LinkedIn, YouTube, and others.

2. If you connect to social media accounts or embed content, you authorize us to access required data from those platforms and to follow their Terms of Service and policies.

3. Any data shared or imported by you from a social media account is governed by that platform’s privacy practices. We are not responsible for how those third parties process your data.

4. You may also share your Listings via social media. You are responsible for respecting both our policies and those of the social media platform.

12. Governing Law & Dispute Resolution

1. These Terms are governed by the laws of Nigeria/FCT Abuja.

2. Any dispute arising under these Terms, including regarding validity or existence, shall be resolved through arbitration under the rules of Applicable Arbitration Act A18.

3. The arbitration will:

   • Have a single arbitrator agreed by both parties;

   • Take place in FCT Abuja, in English;

   • Be binding and final.

4. Each party bears its own costs unless the arbitrator decides otherwise.

13. Miscellaneous Provisions

1. Severability
   If any provision is found invalid or unenforceable, the remainder of the Terms remains in force.

2. Assignment
   We may assign or transfer our rights or obligations under these Terms without notice. You may not assign your rights without our prior written consent.

3. Waiver
   If we don’t enforce a provision, that does not waive our right to enforce it later.

4. Force Majeure
   We are not liable for failures arising from causes beyond our reasonable control (e.g., acts of God, government actions, cyberattacks, power failures).

5. Entire Agreement
   These Terms (including referenced policies) constitute the full agreement between you and us regarding the Platform, superseding prior agreements.
